1. Definitions

In these Terms & Conditions:

  • “Company”, “we”, “our”, or “us” refers to Mainstage Production Services LTD, trading as Mainstage Productions.

  • “Client”, “you”, or “your” refers to the individual or entity engaging our services.

  • “Services” refers to the provision of technical production services, including but not limited to lighting, audio, video, rigging, and related support.

  • “Event” means the specific date(s) and location(s) for which the Services are required, as detailed in the Service Agreement.

  • “Force Majeure” means any event or circumstance beyond the Company’s reasonable control, including but not limited to acts of God, pandemics, extreme weather, fire, flood, terrorism, strikes, government restrictions, or failure of suppliers or subcontractors.

  • “Working Day” means any day other than a Saturday, Sunday, or public holiday in England.

  • “Quotation” – A written document provided by the Company detailing the proposed Services, pricing, and terms.

  • “Service Agreement” – The formal document or agreement between the Client and the Company confirming the scope and terms of Services.

  • “Equipment” – Any technical gear, rigging, lighting, audio, video, or staging materials provided by the Company.


2. Agreement

By engaging our Services, you agree to be bound by these Terms & Conditions. Any amendments or additions to these terms must be agreed upon in writing by both parties.


3. Services Provided

We offer a range of technical production services tailored to meet the specific needs of our Clients. A detailed description of the Services, including scope, deliverables, and timelines, will be provided in the individual Service Agreement or quotation.


4. Client Obligations

You agree to:

  • Provide accurate and complete information necessary for the provision of Services.

  • Ensure access to the venue or location as required for the setup and operation of equipment.

  • Comply with all applicable laws and regulations during the use of our Services.

  • Obtain any necessary permits or approvals for the event or activity.


5. Payment Terms

  • All fees for Services will be outlined in the Service Agreement or quotation.

  • A deposit may be required upon acceptance of the Service Agreement, with the balance due upon completion of the Services.

  • Payments should be made in GBP (£) via the agreed-upon method.

  • Late payments may incur interest at a rate of 20% per month including VAT.


6. Cancellations and Refunds

  • Cancellations must be made in writing.

  • Cancellation charges may apply as follows:

    • More than 15 calendar days before the event: 0% of the total fee.

    • 7 to 14 calendar days before the event: 35% of the total fee.

    • Less than 7 calendar days before the event: 50% of the total fee.

  • Refunds, if applicable, will be processed within 30 calendar days of cancellation.


7. Liability

  • We will perform the Services with reasonable skill and care.

  • Our liability is limited to the amount paid by you for the specific Service giving rise to the claim.

  • We are not liable for any indirect, special, or consequential losses, including loss of profit or business interruption.


8. Intellectual Property

  • All intellectual property rights in materials provided by us remain our property.

  • You may not reproduce, distribute, or use our materials without prior written consent.


9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement.


10. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to natural disasters, strikes, or government actions.


11. Pandemic and COVID-19 Clause

In the event that our ability to perform the Services is affected by a pandemic (including but not limited to COVID-19) or any associated government-imposed restrictions or public health measures, we reserve the right to:

  • Postpone or reschedule the provision of Services;

  • Modify the Services in a manner that complies with relevant safety protocols;

  • Cancel the Services with a full or partial refund, subject to costs already incurred.

You acknowledge that certain circumstances may be beyond our control, and we will make reasonable efforts to accommodate rescheduling or alternative arrangements where possible. However, any additional costs incurred due to changes necessitated by public health guidance or restrictions will be your responsibility unless otherwise agreed in writing.

This clause is in addition to our general Force Majeure provisions.


12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


13. Amendments

We reserve the right to amend these Terms & Conditions at any time. Any changes will be communicated to you and will apply to Services provided after the date of such amendments.
